(“Jolt”) operates the digital platform https://Joltship.com, an online portal for procurement, consulting and software solutions for warehousing, fulfillment, shipping and associated logistics services (“Platform”).

The following terms and conditions for Jolt (“Terms”) shall apply to the use of the Platform by Merchants and Logistics Providers.

Jolt, Merchant and/or Logistics Provider may each be referred to as a “Party” or collectively as “the Parties”.

Special requirements for Logistics Providers are also governed by Special Terms for Logistics Services.

1. Definitions

“Jolt Fulfillment,” “we,” “our,” “us” – Jolt Fulfillment LLC, a Florida-based logistics provider.
“Client,” “you,” “your” – Any individual or business using our website or services.
“Services” – All 3PL services provided by Jolt.
“Goods” or “Inventory” – Client-owned products handled or stored by Jolt.
“Carrier” – USPS, UPS, FedEx, DHL, or any shipping provider used.
“Facility” or “Warehouse” – Jolt’s Tampa-based warehouse.
“Website” – joltship.com.
“Terms” – This Terms & Conditions agreement.


2. Services Provided

2.1 Overview
Jolt provides third-party logistics services including receiving, storage, pick and pack, order fulfillment, returns processing, kitting, prep, and shipping coordination.

2.2 Receiving
We inspect inbound shipments, verify counts, and identify discrepancies.

2.3 Warehousing & Storage
Client inventory is stored securely and managed under industry-standard procedures.

2.4 Pick & Pack
Orders are picked accurately and packed according to client specifications.

2.5 Order Fulfillment
Orders are prepared for shipment, labeled, and dispatched.

2.6 Shipping Coordination
We generate shipping labels, schedule carrier pickups, and select efficient methods when authorized.

2.7 Returns Processing
We inspect, categorize, and restock or dispose of returns based on client instructions.


3. Client Responsibilities

3.1 Accurate Information
Clients must provide correct SKUs, product details, counts, and handling requirements.

3.2 Legal Compliance
Clients must ensure goods comply with federal, state, and carrier regulations.

3.3 Packaging Requirements
Products must be packaged according to marketplace and carrier rules.

3.4 Insurance Responsibilities
Clients are responsible for any insurance they require for stored inventory.

3.5 Ownership of Goods
Clients retain full ownership of inventory stored at Jolt.


4. Prohibited Items

4.1 Restricted Products
Clients may not store or ship:

  • Hazardous materials

  • Illegal or counterfeit items

  • Perishables requiring temperature control

  • Weapons or ammunition

  • Carrier-prohibited items

4.2 Enforcement Rights
Jolt may refuse, remove, or report prohibited goods.


5. Warehousing & Inventory Accuracy

5.1 Standard Handling
Inventory is managed using industry-standard practices.

5.2 Variances
Minor discrepancies may occur due to supplier errors, manufacturer defects, or unlabeled products.

5.3 Liability for Variances
Jolt is not responsible for variances caused by poor packaging, fragile items, or client data errors.

5.4 Reporting Requirements
Clients must report inventory discrepancies within 5 business days.

5.5 Inventory Audits
Jolt may perform cycle counts or audits at its discretion.


6. Shipping & Carrier Liability

6.1 Transfer of Custody
Responsibility transfers to the carrier once packages leave our warehouse.

6.2 Carrier Claims
Clients must file claims with the carrier for lost or damaged shipments unless otherwise agreed.

6.3 Limitations on Jolt Liability
Jolt is not responsible for:

  • Carrier delays

  • Misdeliveries

  • Incorrect addresses provided by the client

  • Carrier-related damage

6.4 Documentation Support
We will assist with carrier claim documentation when possible.


7. Returns Processing

7.1 Handling of Returns
Returned items are inspected, logged, and processed per client instructions.

7.2 Excluded Liability
Jolt is not responsible for:

  • Fraudulent customer returns

  • Unidentified returns

  • Costs associated with disposal

7.3 Guidelines Required
Clients must provide clear return-handling procedures.


8. Fees & Payment Terms

8.1 Service Fees
Clients are responsible for all agreed-upon fees including storage, receiving, pick & pack, packaging materials, special projects, and shipping labels.

8.2 Payment Schedule
Invoices are due upon receipt unless otherwise agreed.

8.3 Late Payment Actions
Past-due balances may result in:

  • Service suspension

  • Inventory holds

  • Late fees

8.4 Warehouseman’s Lien
Jolt may enforce a lien on inventory under Florida law (UCC § 677.209).


9. Limitation of Liability

9.1 Excluded Damages
Jolt is not liable for indirect, incidental, or consequential damages.

9.2 Liability Cap
Jolt’s total liability is limited to the monthly storage fees paid for the affected goods.

9.3 Client Insurance
Clients should maintain their own insurance coverage.


10. Insurance

10.1 No Insurance Provided
Jolt does not insure client goods.

10.2 Client Responsibility
Clients must arrange their own:

  • Property / inventory insurance

  • Cargo insurance

  • Product liability insurance

10.3 Documentation Support
We will provide any needed warehouse or inventory documentation upon request.


11. Termination of Services

11.1 Notice Requirement
Either party may terminate services with written notice as outlined in the service agreement.

11.2 Inventory Removal
Clients must remove inventory within 10 business days following termination.

11.3 Ongoing Fees
Storage fees continue to accrue until inventory leaves the facility.

11.4 Unclaimed Goods
Unclaimed items may be subject to a lien, liquidation, or disposal.


12. Intellectual Property

12.1 Ownership
All website materials, branding, and content belong to Jolt.

12.2 Use Restrictions
No content may be reproduced without explicit written permission.


13. Governing Law

13.1 Applicable Law
These Terms are governed by Florida state law.

13.2 Venue
All disputes shall be resolved in Hillsborough County, Florida.


14. Changes to These Terms

14.1 Updates
We may update these Terms at any time.

14.2 Acceptance of Updates
Use of our website or services after updates constitutes acceptance.
